PLEASE READ THESE TERMS AND CONDITIONS (“TERMS”) CAREFULLY BEFORE USING THE HEALTH COVERAGE PURCHASING SERVICES OFFERED BY ANTARA HEALTH, INC. (“ANTARA HEALTH”). BY MUTUALLY EXECUTING ONE OR MORE ORDER FORMS WITH COMPANY WHICH REFERENCE THESE TERMS OR BY SUBMITTING AN ONLINE ORDER FORM ON ANTARA HEALTH’S WEBSITE (EACH, AN “ORDER FORM”), YOU (“CUSTOMER”) AGREE TO BE BOUND BY THESE TERMS (TOGETHER WITH ALL ORDER FORMS, THE “AGREEMENT”) TO THE EXCLUSION OF ALL OTHER TERMS. IF THE TERMS OF THIS AGREEMENT ARE CONSIDERED AN OFFER, ACCEPTANCE IS EXPRESSLY LIMITED TO SUCH TERMS.
Antara Health’s Obligations
Subject to Customer’s compliance with the terms and conditions of this Agreement Antara Health agrees to remit payments to its partner providers for the health care and/or pharmacy services described in Exhibit A hereto (the “Outpatient Coverage”), Exhibit B hereto (the “Comprehensive Coverage”), or Exhibit C hereto (the “Senior Care Package”), subject to the limitations, deductibles and other conditions specified in Exhibit A, B, or C. Coverage is provided only for the Beneficiary named in the Order Form and only when Coverage is provided by the provider(s) specified in Exhibit A, B, or C (the “Providers”); no payments will be remitted for services received by anyone other than the Beneficiary or for services received at any facilities other than the Providers. Customer acknowledges and agrees that neither the Coverage nor Antara Health’s payment obligations are insurance. Antara Health is providing a payment service to facilitate Beneficiary’s payments and care for the Coverage received from the Providers (the “Service”). Antara Health is not responsible for the treatment provided (or any failure to provide treatment) by the Providers. Antara Health will provide support for the Service. Antara Health will provide personalized care coordination services through its cadre of Health Navigators.
Customer’s Obligations
Customer shall pay Antara Health fees for the Antara Health payment services provided hereunder (the “Services”) as set forth in each Order Form (“Fees”). Unless otherwise specified in an Order Form, all Fees for Comprehensive Coverage Plans shall be paid in advance by credit card [via Antara Health’s payment processor] and all Senior Care Packages shall be paid in advance by credit card [via Antara Health’s payment processor]. Customer shall be responsible for all taxes associated with the Services (excluding taxes based on Antara Health’s net income). All Fees paid are non-refundable and are not subject to set-off. Customer acknowledges and agrees that Antara Health is not responsible to remit payment for (and the Fees do not include payment for) any products or services outside the Coverage. Customer and Beneficiary are solely responsible for determining the suitability of the Providers and should seek medical care elsewhere if they determine the Providers do not meet their needs.Customer agrees that payments for Coverage are made subject to Customer’s and Beneficiary’s compliance with all of the terms of this Agreement and the Coverage requirements set forth in Exhibit A or B. Failure for Customer and/or Beneficiary to comply with such terms and requirements shall be deemed a breach of this Agreement and shall relieve Antara Health of its obligations under this Agreement.
Ownership; Feedback
As between the parties, Antara Health retains all right, title, and interest in and to the Service and all intellectual property rights embodied in or otherwise used to provide the Service, and all improvements thereto. Customer may from time to time provide suggestions, comments or other feedback to Antara Health with respect to the Service (“Feedback”). Antara Health shall be free to use and disclose the Feedback for any purposes.
Privacy and your Personal Information
Antara’s privacy policy is located at antarahealth.com/privacy (the “Privacy Policy”) and is expressly incorporated into these Terms. The Privacy Policy discloses Company’s practices regarding the collection, use and disclosure of your personal information that you create, upload, transmit or display while using the Services. By agreeing to these Terms, you are also agreeing to the terms of Company’s Privacy Policy and consenting to the collection, use and disclosure of information provided to Company as set forth herein. For inquiries in regard to the Privacy Policy or to report a privacy-related problem, please contact us at privacy@antarahealth.com.
Term; Termination
This Agreement shall commence upon the Effective Date set forth in the first Order Form, and, unless earlier terminated in accordance herewith, shall last until the expiration or termination of the all Order Forms. For each Order Form, the “Order Form Term” shall begin as of the Effective Date set forth on such Order Form, and unless earlier terminated as set forth herein, (a) shall continue for the initial term specified on the Order Form (the “Initial Order Form Term”), and (b) following the Initial Order Form Term, shall automatically renew for additional successive periods of one year each (each, a “Renewal Order Form Term”) unless either party notifies the other party of such party’s intention not to renew no later than thirty (30) days prior to the expiration of the Initial Order Form Term or then-current Renewal Order Form Term, as applicable. In the event of a material breach of this Agreement by either party, the non-breaching party may terminate this Agreement by providing written notice to the breaching party, provided that the breaching party does not materially cure such breach within thirty (30) days of receipt of such notice. Without limiting the foregoing, Antara Health may suspend the Service if (i) Customer’s account is more than sixty (60) days past due, or (ii) Customer’s use of the Service results in (or is reasonably likely to result in) violation of any applicable laws. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, accrued payment obligations, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
Indemnification
Customer shall defend, indemnify, and hold harmless Antara Health, its affiliates and each of its and its affiliates’ employees, contractors, directors, suppliers and representatives (collectively, the “Indemnitees”) from all liabilities, claims, and expenses paid or payable to an unaffiliated third party (including reasonable attorneys’ fees) (“Losses”), that arise from or relate to any claim against any of the Indemnitees (i) asserting that Customer’s use of the Service infringes, violates, or misappropriates any third party intellectual property right or (ii) relating in any way to the Coverage received from any of the Providers. Customer’s indemnification obligations hereunder shall be conditioned upon the Indemnitee providing the Customer with: (i) prompt written notice of any claim (provided that a failure to provide such notice shall only relieve the Customer of its indemnity obligations if the Customer is materially prejudiced by such failure); (ii) the option to assume sole control over the defense and settlement of any claim (provided that the Indemnitee may participate in such defense and settlement at its own expense); and (iii) reasonable information and assistance in connection with such defense and settlement (at the Customer’s expense).
Disclaimer
EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICE IS PROVIDED “AS IS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF PERFORMANCE, USAGE OF TRADE, OR COURSE OF DEALING, ALL OF WHICH ARE EXPRESSLY DISCLAIMED.
Limitation of Liability
EXCEPT INDEMNIFICATION OBLIGATIONS, IN NO EVENT SHALL EITHER PARTY, NOR ITS DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS OR CONTENT PROVIDERS, BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL OR EQUITABLE THEORY WITH RESPECT TO THE SUBJECT MATTER OF THIS AGREEMENT (I) FOR ANY LOST PROFITS, DATA LOSS, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER OR (II) FOR ANY DIRECT DAMAGES IN EXCESS OF (IN THE AGGREGATE) THE FEES PAID (OR PAYABLE) BY CUSTOMER TO ANTARA HEALTH HEREUNDER IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO A CLAIM HEREUNDER.
Miscellaneous
This Agreement represents the entire agreement between Customer and Antara Health with respect to the subject matter hereof, and supersedes all prior or contemporaneous communications and proposals (whether oral, written or electronic) between Customer and Antara Health with respect thereto. The Agreement shall be governed by and construed in accordance with the laws of the Republic of Kenya. All notices under this Agreement shall be in writing and shall be deemed to have been duly given when received, if personally delivered or sent by certified or registered mail, return receipt requested; when receipt is electronically confirmed, if transmitted by facsimile or e-mail; or the day after it is sent, if sent for next day delivery by recognized overnight delivery service. Notices must be sent to the contacts for each party set forth on the Order Form. Either party may update its address set forth above by giving notice in accordance with this section. Except as otherwise provided herein, this Agreement may be amended only by a writing executed by both parties. Except for payment obligations, neither party shall be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond such party’s reasonable control, including, without limitation, the elements; fire; flood; severe weather; earthquake; vandalism; accidents; sabotage; power failure; denial of service attacks or similar attacks; Internet failure; acts of God and the public enemy; acts of war; acts of terrorism; riots; civil or public disturbances; strikes, lock-outs or labor disruptions; any laws, orders, rules, regulations, acts or restraints of any government or governmental body or authority, civil or military, including the orders and judgments of courts. Neither party may assign any of its rights or obligations hereunder without the other party’s consent; provided that (i) either party may assign all of its rights and obligations hereunder without such consent to a successor-in-interest in connection with a sale of substantially all of such party’s assets or business relating to this Agreement, and (ii) Antara Health may utilize subcontractors in the performance of its obligations hereunder. No agency, partnership, joint venture, or employment relationship is created as a result of this Agreement and neither party has any authority of any kind to bind the other in any respect. In any action or proceeding to enforce rights under this Agreement, the prevailing party shall be entitled to recover costs and attorneys’ fees. If any provision of this Agreement is held to be unenforceable for any reason, such provision shall be reformed only to the extent necessary to make it enforceable. The failure of either party to act with respect to a breach of this Agreement by the other party shall not constitute a waiver and shall not limit such party’s rights with respect to such breach or any subsequent breaches.

Includes unlimited outpatient consultations at any one of our partner provider facilities (Exhibit D) located throughout Kenya. These consultations can take place on an as-needed or scheduled basis without any claims or additional copays or fees at all.

Health Navigators serve as a point of first contact for all our members. They will be there to answer questions, provide information on wellness resources, follow up about care received, and help address any issues that may arise.
What IS Covered
At Antara Health we want to be up front about what our Comprehensive Care Plans do and do not cover. While Antara Health coverage offers great coverage at excellent value, not everything, including some pre-existing conditions, will be covered by our Comprehensive Plans.
What IS covered: Outpatient Benefits

Individual Plans Vs Family Plans:
Comprehensive Care Plans can be purchased for a group of individuals at favorable rates. Those covered under family plans receive Outpatient coverage as needed, BUT must share the Inpatient Coverage between them of between 100,000 KES and 1,000,000 KES, depending on plan purchase. Please note that Family Plans do NOT include coverage for preexisting conditions.
Many pre-existing conditions –– such as diabetes, hypertension, and asthma –– ARE included in our Individual Comprehensive Coverage Plans up to $1000.00 (typical investigations and drug treatments generally do not cost more than $500).

Antara Health’s Customized Senior Care Package At Antara Health, we know how hard it can be to take care of the people you love from so far away.
Senior care can involve a lot of work just to manage the essentials. Things like finding the right doctors, making sure appointments are kept, access to quality medications, eye and ear exams, and so on can add up to a lot of stress, effort, and time. Especially when you live far away!
Antara Health offers a better way to care for your loved ones back home. By putting together a customized Senior Care Package for every senior and linking that package to a care coordination specialist, Antara Health takes the stress out of care coordination and let’s you focus on other things.
The Antara Health Solution: High Quality, Value-Driven, and Hassle-Free Care
Each Senior Package is customized to match your senior’s needs and designed to deliver your loved ones the care they need, when they need it.
And that process starts with you! Because the first thing we do is ask you to describe your Senior’s health situation to one of our health experts. Based on that conversation, we’ll figure out what kind of care is needed to create your package (e.g. how many doctor’s visits are necessary, what kind of medication is required, etc).
We then coordinate those health services. If your Senior has a trusted doctor, we’ll work with that person. If not, we’ll provide a great doctor for you. We’ll also make it easy to purchase prescribed medications that are guaranteed for quality.
Once you’ve approved your package (and we’ll never charge you anything without your approval), then we make it easy for you to pay for everything securely and conveniently.
Everything will then be coordinated by a Antara Health Navigator - a health professional employed by us to be there for your senior. That means your Navigator will organize appointments, follow up about care received, send reminders, answer any questions, and much more.
The goal of the Antara Health Senior Care Package is to deliver to you and your Senior not just great care, but also Less Work, Peace of Mind, Better Value, Better Living, and Transparency.
An Important Distinction:
We want to be very upfront about what our Senior Care Package does and does not deliver.
Specifically, our Senior Care Packages are not insurance or blanket coverage of any kind. They are a Care Coordination Service.
That means your Senior will ONLY receive the care you pay for in your Package.
Anything outside of the scope of your Package - in other words, any health service not agreed to and funded by you in advance - will not be covered.
